Referrer Terms.

Plain-English terms for anyone using the DeFinitive referral programme. By generating a referral link, you confirm you have read and agreed to these terms.
1. Who can refer
Anyone aged 18 or over with a valid email and one accepted authentication method (Google, LinkedIn, or a crypto wallet). No prior recruiting experience is required.
2. Your status
You are an independent referrer, not an employee, agent, contractor, or partner of DeFinitive. Nothing in these terms creates an employment relationship, joint venture, or any form of representation. You cannot enter agreements, make promises, or hold yourself out as speaking for DeFinitive.
3. What you're agreeing to
- You'll only refer people you'd personally vouch for.
- You won't submit fake, stolen, or unauthorised candidates.
- You'll let the candidate decide whether to confirm the referral - they have to explicitly confirm on the welcome screen before the attribution counts.
- You'll respect the candidate's privacy, their time, and their decision if they choose not to apply.
4. Attribution
Your unique invite link is tied to your profile. Attribution locks in only if your referred candidate reaches a formal interview with the hiring client, our internal screening calls don't count. First-to-refer wins when two referrers target the same candidate for the same role; all link creations are timestamped. If the candidate is hired for a different role than the one they were originally referred to, you're still credited at the new role's bounty amount.
5. Payment
You're paid the advertised bounty amount for the role your referral is hired into, in USDC on Ethereum, Base, or Solana. The bounty amount is locked at the time you generate the link, subsequent admin changes to the role's bounty don't affect what you're owed.
Payment is issued 30 days after your referred candidate's start date, once we have verified they are still employed at day 30. If they leave before day 30 the payout is voided. From your dashboard you'll see the bounty "locked in" the moment a hire is recorded, with a countdown to release.
Before any payout is released we screen the recipient name and wallet address against UK and international sanctions lists, as we are required to by law. We do not release payouts to anyone on those lists.
6. Tax
You are responsible for reporting and paying any tax due on bounties you receive, under the rules of your country of residence. DeFinitive does not deduct tax at source, does not issue tax forms, and doesn't provide tax advice. If you're unsure, speak to a qualified accountant.
7. Data you share with us
To run the programme we collect your name, email, country, LinkedIn URL, optional Telegram handle, and wallet address. We also record your referral activity (links generated, clicks, applications, hires, payouts). Full details of what we collect, why, how long we keep it, and your rights as a data subject are in our referral privacy notice. Candidates you refer consent separately to their own data being processed; you do not authorise their data on their behalf.
8. Prohibited conduct
The following will result in your account being paused, banned, or pending payouts voided:
- Offering any form of inducement (cash, gift, favour) to candidates to apply via your link.
- Submitting CVs or profiles without the candidate's knowledge.
- Automated scraping, bulk submission, spamming LinkedIn or job groups with your link.
- Impersonating DeFinitive staff, a hiring company, or another referrer.
- Self-referring, referring yourself for a role.
- Any activity that breaches the UK Bribery Act, the GDPR, or any other applicable law.
9. Voided payouts
Payouts may be voided if: the hire leaves during probation, the referral is found to be fraudulent or collusive, the candidate withdraws their consent, or the client refuses to pay DeFinitive's fee. You'll be notified of the void and the reason in your dashboard.
10. Disputes
If you disagree with a decision, open a dispute from your dashboard. Disputes are reviewed against the terms published on this page and the facts on the record (link timestamps, applications, audit log). Decisions are recorded with written explanations and communicated to you in your dashboard. Nathan Darnell signs off the final internal decision.
This internal process is not binding on you. If you remain unhappy with the outcome you keep your statutory rights, including the right to bring a claim in the small claims court (or the equivalent in your country of residence) under the law set out in section 14.
11. Programme changes
DeFinitive may change bounty amounts on future roles, pause the programme, modify these terms, or close the programme entirely. Existing referrals already in progress will be honoured under the terms they were submitted under, changes aren't applied retroactively to pending payouts.
12. Closing your account
You can close your account anytime from the dashboard. Personal data (name, email, LinkedIn, Telegram, payment details) is removed; historical records are anonymised for audit purposes. Pending payouts are voided; approved payouts are still paid out.
13. Our liability
We'll pay the bounties we owe you and we'll handle your data responsibly. Beyond that, we're not liable for any indirect or consequential loss, including but not limited to lost earnings from referrals that don't convert, candidates who don't respond, or programme changes. Nothing in these terms excludes liability that cannot lawfully be excluded (for example, death or personal injury caused by our negligence, or fraud).
14. Updates, governing law, and contact
We may update these terms. The current version and last-updated date are shown at the top of this page. You'll be asked to re-accept the new version before creating any new referrals. Referrals already in progress stay under the terms they were submitted under.
These terms are governed by the laws of England and Wales. The courts of England and Wales have non-exclusive jurisdiction over any dispute that cannot be resolved through the internal dispute process in section 10.

15. 14-day cancellation right
If you are signing up to the programme as a consumer (not in the course of a business), you have the right under the UK Consumer Contracts Regulations 2013 to cancel your participation within 14 days of accepting these terms, without giving a reason and without penalty.
To cancel, close your account from your dashboard or email us at info@definitivetalent.xyz within the 14-day window. Cancellation closes your account and stops any further activity on the programme. It does not retroactively unwind a referral that has already led to a confirmed hire, you still receive any bounty due for that hire under the rest of these terms.
